Definitions and Acronyms

As used herein:

“Website” means any and all pages on www.lugical.com and any of its subdomains;

“Lugical”, “we”, “us” and “our” refers to Lugical, a personal venture of Vincent Courtemanche, the owner and operator of the Website;

“you” and “user” means the person accessing, browsing and using the functionalities of the Website;

“Terms” means our Terms of Use as defined below, in whole or in part;

“Policy” means our Privacy Policy as defined below, in whole or in part;

“GDPR” means the General Data Protection Regulation as defined by the European Union;

“personal data” means any information relating to an identified or identifiable natural person (“data subject”); an identifiable natural person is one who can be identified, directly or indirectly, in particular by reference to an identifier such as a name, an identification number, location data, an online identifier or to one or more factors specific to the physical, physiological, genetic, mental, economic, cultural or social identity of that natural person;

“processing” means any operation or set of operations which is performed on personal data or on sets of personal data, whether or not by automated means, such as collection, recording, organization, structuring, storage, adaptation or alteration, retrieval, consultation, use, disclosure by transmission, dissemination or otherwise making available, alignment or combination, restriction, erasure or destruction;

“controller” means the natural or legal person, public authority, agency or other body which, alone or jointly with others, determines the purposes and means of the processing of personal data; where the purposes and means of such processing are determined by European Union or Member State law, the controller or the specific criteria for its nomination may be provided for by European Union or Member State law;

“processor” means a natural or legal person, public authority, agency or other body which processes personal data on behalf of the controller;

“consent” of the data subject means any freely given, specific, informed and unambiguous indication of the data subject’s wishes by which he or she, by a statement or by a clear affirmative action, signifies agreement to the processing of personal data relating to him or her;

“cookies” are small text files that are sent to your computer to ensure the technical functionality of the website.

Terms of Use

We provide you access to the Website subject to the following Terms. The Terms constitute a legal agreement between you and Lugical and govern all use of the Website, including all content, data, and services provided on the Website, whether as a guest or a subscriber.

Please read the Terms carefully before using the Website. If you do not agree to these Terms, you may not access or use the Website. In addition, when accessing the Website, you shall be subject to any posted guidelines or rules applicable to the Website, which may be posted and modified from time to time. All such guidelines or rules are hereby incorporated by reference into these Terms.

Usage Restrictions

Users of the Website must be at least sixteen years of age, of sound mental capacity, and possess all knowledge and information necessary or advisable, technical or otherwise, to understand and evaluate the risks of the Website.

By accessing, browsing, or using the Website, you agree to the following restrictions:

  • you will not reproduce, duplicate, copy, download, store, further transmit, disseminate, distribute, transfer, or otherwise exploit the Website, or any portion hereof, without Lugical’s prior written consent, except to search and view content made publicly available on the Website on a complimentary basis, or to reproduce and download such content solely for your own use in connection with your own practice, business or educational activities, provided that such content is not transmitted or distributed to any other person and such use is not commercially prejudicial to or competitive with Lugical;
  • you will not use any framing techniques to enclose any portion of the Website (including, but not limited to, images, text, page layout, and form) without Lugical’s prior written consent;
  • you will not remove, alter or obscure any citation or attribution of the author or source of the information or services on the Website, including Lugical branding, or remove any notice of copyright, trademark or other proprietary rights on any of the information or services appearing on the Website;
  • you will not make any independent use of the trademarks, service marks, trade names, logos, and graphics on this website without Lugical’s prior written consent;
  • you will not falsely represent or imply that you are affiliated with or endorsed by Lugical;
  • you will not encourage or assist anyone in violation of the Terms.

Use At Your Own Risk

The information presented on or through the Website is made available solely for general information, educational and entertainment purposes, without warranty of any kind, express or implied, including but not limited to warranties of performance, fitness for a particular purpose, quality, non-infringement, accuracy, omissions, completeness, and currentness, except for those warranties which cannot be excluded or limited under applicable law. The information and services on the Website are not intended to and shall not be used as legal, investment, or health care advice. We do not warrant the accuracy, completeness or usefulness of this information. Any reliance you place on such information is strictly at your own risk. We disclaim all liability and responsibility arising from any reliance placed on such materials by any other visitor to the Website, or by anyone who may otherwise be informed by any of its contents.

Updates to the Website

We reserve the right to withdraw or amend this Website, and any service or material we provide on the Website, in our sole discretion without notice. The content of the Website is not necessarily complete or up-to-date. Any of the material on the Website may be out of date at any given time, and we are under no obligation to update such material. We will not be liable if for any reason all or any part of the Website is unavailable at any time or for any period. From time to time, we may restrict access to some parts of the Website, or the entire Website.

Limitation Of Liability

You assume any and all risks related to the use of the information and services provided on the Website. In no event shall Lugical be deemed liable, whether in contract, tort (including negligence), strict liability, or otherwise, for:

  • direct, indirect, incidental, special, punitive, or consequential damages of any kind arising out of, or in connection with use of the Website, whether or not Lugical has been advised of the possibility of such damage;
  • any decision made or action taken by you in reliance upon the information and contents made available through the Website; or
  • any other cause whatsoever, even if Lugical was advised of the possibility of any such damage.

The foregoing does not affect any liability which cannot be excluded or limited under applicable law. If you object to these terms, your only recourse is to immediately discontinue use of the Website.

Indemnification

You agree to indemnify, defend, and hold Lugical and its officers, directors, employees, agents, and suppliers harmless from and against all claims, losses, expenses, damages, and costs, including reasonable attorneys’ fees, resulting from any violation of these Terms by you or your use of the Website, including, but not limited to, any use of the Website’s content, services and products other than as expressly authorized in these Terms, or your use of any information obtained from the Website.

Updates to these Terms

We may revise and update these Terms at any time, with or without notice to you. All changes are effective immediately when we post them, and apply to all access to and use of the Website thereafter. Each time you access this website, you agree to be bound by the Terms then in effect. If you do not agree to the revised Terms, you must discontinue using this site.

Severability of Provisions

If any provision of these Terms is deemed unlawful, void, or unenforceable, then that provision shall be deemed severable from the remaining provisions and shall not affect their validity and enforceability.

Waiver

No waiver by Lugical of any term or condition set forth in these Terms shall be deemed a further or continuing waiver of such term or condition or a waiver of any other term or condition, and any failure by Lugical to assert a right or provision under these Terms shall not constitute a waiver of such right or provision.

Entire Agreement

The Terms, together with any other documents or policies described and incorporated by reference herein, constitute the sole and entire agreement between you and Lugical with respect to the Website and supersede all prior and contemporaneous understandings, agreements, representations and warranties, both written and oral, with respect to the Website.

Privacy Policy

Lugical is committed to protecting and respecting your privacy. This privacy policy (“Privacy Policy”), together with our Terms governs our collection, processing and use of your personal data. By sharing your personal data with us using the means provided by the Website, you confirm that you have read this Privacy Policy and consent to the data collection and specific purposes described herein.

Purpose of data processing

We collect and process personal data you provide to us through the various forms on the Website in order to communicate with you about the specific content and services you have consented to.

We do not sell your personal data to anyone, nor share it with any third party except those service and hosting providers technically required for the Website to function.

Personal data processed

When using the Website, the following data may be automatically received from your browser and collected by our hosting provider:

  • IP address;
  • Browser type (e.g. Google Chrome, Firefox);
  • Type of device;
  • Operating system and version (e.g. Windows 10);
  • The origin point of traffic (Direct link or search engine);

Additionally, we collect and process personal data sent by you through the contact and sign up forms on the Website, including:

Retention of Personal Data

We will hold your personal data only for as long as it is necessary for us to do so in order to achieve the purposes described in this Privacy Policy and our own legal and regulatory requirements.

Security, Protection and Use of Personal Data

Lugical implements industry-standard technical and organizational measures to ensure a level of security appropriate to the risk, including encrypting personal data and restricting access to authorized personnel for explicit purposes. If we are made aware of a breach of our systems which might have impacted your personal data, we will notify you and the relevant regulator with the relevant details without undue delay.

Our email delivery and hosting providers may store or process data outside your own country, including in the United States, making such data subject to the relevant laws applicable in these jurisdictions. All such service providers are carefully evaluated to ensure they meet or exceed the safeguards (Standard Contractual Clauses and/or EU-US Data Privacy Frameworks) required for us to keep your data secure and meet our legal obligations.

Recipients of Personal Data

Lugical does not disclose the personal data collected with any third party other than the infrastructure service providers required to collect, store and process the data.

Notwithstanding the preceding statements, we also reserve the right to disclose personal data that we believe, in good faith, is appropriate or necessary to enforce our Terms of Use, take precautions against liability or harm, to investigate and respond to third-party claims or allegations, to respond to a court order or official requests, to protect security or integrity of Lugical and to protect the rights, property or safety of Lugical, our users or others.

Data Subjects’ Rights

The user has the right to obtain confirmation as to whether or not personal data concerning him or her are being collected, processed, used, or disclosed. Where that is the case, the user has the right to access the personal data and all relevant information, with right to withdraw consent for further processing, as well as to request deletion of the personal data. Furthermore, users have the right not to receive discriminatory treatment for exercising these rights.

According to the Website’s Terms of Use, users must be at least sixteen years of age, of sound mental capacity and possess all knowledge and information necessary or advisable, technical or otherwise, to understand and evaluate the risks of the Website. Lugical does not knowingly collect or store any personal data about users under sixteen. If you believe we have unknowingly collected and/or processed data from a minor, contact us at the email found at the bottom of this policy and we will make commercially responsible efforts to delete this data from our records. Where this data has been anonymized and aggregated into published research, it may not be possible for us to remove the data from such work.

Updates

Our policies, content, information, promotions, disclosures, disclaimers and features may be revised, modified, updated, and/or supplemented at any time and without prior notice at the sole and absolute discretion of Lugical. Where required by law or as a gesture of good will, if we make material changes to this Privacy Policy, we will take steps to notify all users by email or by a notice on our Website, and will publish the amended Privacy Policy on the Website.

Additional information for users located in the European Economic Area and in the United Kingdom

A. Transparency

The privacy policy informs you about the processing of personal data in accordance with articles 12, 13 and 14 EU Regulation 2016/679 on the protection of natural persons with regard to the processing of Personal Data and on the free movement of such data and repealing Directive 95/46/EC (“GDPR”).

B. Lawful Basis for the Processing of Personal Data

Our “lawful basis” for processing your personal data, as defined under GDPR, are grounded in the following:

  • Art. 6(1)(a) where you have given your specific consent to receive one or more of our newsletters;
  • Art. 6(1)(b) where you have inquired about our professional services and it involves steps necessary prior to entering into a contract;
  • Art. 6(1)(c) where collecting and processing is necessary for us to meet our legal obligations;
  • Art. 6(1)(f) where the data is used to ensure the security and integrity of the Website, including to prevent fraud, bots and other cybersecurity risks.

C. Data Subjects’ Rights

According to the GDPR, the user has also the right to withdraw consent for collection and processing (Art. 7 GDPR); the right to obtain from the controller without undue delay the rectification of inaccurate personal data concerning him or her (Art. 16 GDPR); the right to obtain the erasure of personal data concerning him or her without undue delay in one of the situations outlined in Art. 17 GDPR; the right to obtain from the controller restriction of processing in accordance with Art. 18 GDPR; the right to data portability in accordance with Art. 20 GDPR.

The user has further the right to object, on grounds relating to his or her particular situation, at any time to processing of personal data concerning him or her which is necessary for the purposes of the legitimate interests pursued by the controller or by a third party (Art. 21 GDPR).

In view of the importance of data privacy, and our obligations of transparency, we provide information below about cookies and how we use them on our website. Where required by the law, we will use cookies only if you have given your consent.

Lugical makes use of cookies to ensure the Website’s basic functionality. Certain cookies are technically necessary in order to maintain this basic functionality, therefore, you cannot reject the use of these cookies.

Applicable Law and Venue

The laws of British Columbia, Canada, without regard to principles of conflict of laws, govern both our Terms and our Privacy Policy, and any dispute that might arise between you and Lugical. If you take legal action relating to these Terms and/or Policies, you irrevocably agree to only take such action within British Columbia and only to a court of competent jurisdiction within British Columbia and in no other jurisdiction or venue, and you now irrevocably consent and submit to the jurisdiction of the courts of British Columbia for this purpose.
